Terms of Service
Effective date. This version takes effect on November 2, 2026, or 30 days after we publish it and notify existing users by email, whichever is later. Until then, the previous version continues to apply. The September 26, 2026 version remains scheduled to take effect for existing users on October 10, 2026 under the notice already sent. This update gives purchased credits no expiry, no fees and a refund right without a time limit; it also corrects plan and billing descriptions. Earlier purchases keep their existing protections and receive these more generous purchased-credit rights when this version takes effect. The October 14, 2026 revision prices chat and other model-written text at their provider cost instead of 2.5 times (Terms §3.4). Because it only lowers what you pay, it applies from the day it is published.
These Terms of Service ("Terms") govern your use of the Desklight platform, software, and services (collectively, the "Service") operated by Desklight Inc., a corporation incorporated under the Canada Business Corporations Act (corporation number 1826926-2) ("Desklight", "we", "us", or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Desklight is an AI-powered marketing operations platform. We provide tools to plan, draft, generate, schedule, and manage social and marketing content. The Service uses third-party artificial intelligence models (including but not limited to those operated by Anthropic, OpenAI, Google, and Replicate) to generate text, images, and videos based on inputs you provide.
We may add, modify, or remove features at any time. We will give reasonable notice of material changes that affect paid plans.
2. Accounts and eligibility
You must be at least 18 years old and legally able to form a binding contract to use the Service. You are responsible for keeping your login credentials confidential and for all activity that happens under your account. Notify us at support@desklight.ai immediately if you suspect unauthorized access.
You may invite teammates to your workspace. You are responsible for the actions of every account in your workspace, and for ensuring those accounts comply with these Terms.
3. Plans, billing, and credits
3.1 Plans
Access is currently by invitation. New workspaces receive 500 starter credits once. Paid plans and credit packs are coming soon; paid checkout is not currently available.
The planned offers are:
- Free (Pay-as-you-go). No subscription. Paid AI actions draw from your credit balance at the rates shown in Settings → Plan & billing → What things cost.
- Pro. US$29 per month, with 2,000 monthly credits, 3 brands and 1 seat. Chat and generation use credits. Publishing automations run only when you enable them.
- Team. US$99 per month, with 7,500 shared monthly credits, 10 brands and 3 seats. Chat and generation use credits.
Prices and plan limits will be shown before purchase. Plan changes follow the notice rules in §3.5.
3.2 Purchased credits
Planned credit packs of US$20, US$50, US$100 and US$250 provide 2,000, 5,000, 10,000 and 25,000 credits respectively. One credit has a value of US$0.01 toward eligible Desklight services. Prices are in USD; your bank may convert the payment and apply its own fees.
Purchased credits never expire. Cancelling a plan or closing an account does not forfeit them. You may request a refund of unused purchased credits at any time. We return the price you paid for the unused portion, with no deductions, including when your account closes or Desklight closes. Email support@desklight.ai; refunds are handled manually through support, as described in our Refund Policy.
We charge no fees on credits, including inactivity, maintenance or refund fees. We do not change the value or terms of credits already purchased. Changes to credit-pack prices or terms apply only to credits bought afterward. Credits belong to the purchasing workspace and cannot be transferred between workspaces or people.
3.3 Monthly plan credits
Monthly credits come with your paid plan. They reset each monthly billing period and do not carry over. If an annual plan is offered, its credits still reset monthly on the subscription anniversary, using the last day of shorter months when needed. Unused monthly credits have no separate cash refund value; subscription refunds follow our Refund Policy. Included credits are used before purchased credits. A monthly reset never removes purchased credits.
3.4 Per-action credit costs
Every paid AI action, including chat, images, edits, video and audio, uses credits. Each model call in an action is priced at its own rate: text written by a language model, such as a chat reply or the writing behind a post, costs its provider cost; images, edits, video and audio cost 2.5 times their provider cost. We total the cost for the action, convert it at US$0.01 per credit and round up once to a whole credit, with a minimum of 1 credit for a paid action. Text uses measured token usage; other actions use their provider billing units.
Failed generations never use credits. Any credits reserved for a failed action are released. If work cannot be delivered after a charge, we flag it for credit-back review; contact support@desklight.ai if your balance has not been corrected.
Current rates and usage estimates are shown in Settings → Plan & billing → What things cost. Longer conversations, higher resolutions and longer videos can use more credits.
3.5 Price and rate changes
Per-action costs follow verified provider prices, which can move up or down. The multipliers (provider cost for text, 2.5 times for images, edits, video and audio) remain the same. A job already authorized keeps its accepted pricing snapshot. Changes in the cost of an action do not change the US$0.01 value, no-expiry status, fee protection or refund rights of purchased credits.
We will give at least 30 days’ advance notice by email of subscription price changes. Changes to credit-pack prices or terms apply only to credits bought after the change. Credits already purchased keep their terms and value. You may request a full refund of their unused paid value at any time, including after a rate increase; there is no deadline tied to the increase.
3.6 Billing and cancellation
Once paid checkout opens, subscriptions will be billed in advance through Stripe, Inc. A subscription renews until you cancel; a credit pack is a one-time purchase. You can cancel anytime from Settings → Plan & billing. Cancelling stops the next renewal, and your current paid period runs to its end.
Deleting a workspace closes its access and cancels its recurring subscription immediately. Deletion does not automatically refund the plan fee, and restoring the workspace requires a new subscription. Purchased credits are not forfeited: we refund their unused paid value, without fees, when the account closes. Email support@desklight.ai before or after closure so support can arrange the refund. We issue purchased-credit refunds within 14 calendar days of your request or account or Service closure; your bank may take additional time to post them.
3.7 Free tier and free credits
The Free (Pay-as-you-go) tier is provided as-is with no service-level guarantees. Paid generation requires enough credits to cover the action. Starter and promotional credits are free, have no cash value and are not refundable.
3.8 Taxes
Prices are in USD. Any applicable sales tax will be shown before purchase. Your bank may apply its own currency-conversion or card fees.
4. Acceptable use
You agree not to use the Service to:
- Generate, distribute, or store unlawful, infringing, defamatory, harassing, or sexually exploitative content;
- Generate content that impersonates real people without consent, or that violates third-party rights of publicity, privacy, or trademark;
- Create spam, malware, or content designed to deceive, defraud, or manipulate;
- Attempt to reverse-engineer, scrape, probe, or interfere with the Service;
- Use the Service to train competing AI models;
- Resell or redistribute the Service without a written agreement.
We may suspend or terminate your account for violations of this section, with or without notice.
5. Your content
You retain ownership of the content you upload, paste, or otherwise provide to the Service ("User Content"). You grant Desklight a non-exclusive, worldwide, royalty-free license to host, store, process, and display your User Content for the sole purpose of operating and improving the Service.
You represent and warrant that you have the rights necessary to upload your User Content and that it does not infringe any third-party rights.
6. AI-generated output
The Service produces AI-generated text, images, and video (collectively, "Output") based on your inputs. To the extent permitted by law, you own the Output you generate while complying with these Terms. You are solely responsible for reviewing Output before publication and for ensuring it complies with applicable law and platform policies.
AI Output may be inaccurate, biased, or repeat content similar to other users' generations. We make no representation that Output is unique, factually correct, or fit for any particular purpose. Do not rely on AI-generated copy or visuals for medical, legal, financial, or safety-critical decisions.
7. Third-party services
The Service integrates with third-party services (Anthropic, OpenAI, Google Gemini, Replicate, Resend, Supabase, Stripe, AgentMail, and others). Your use of those services is governed by their respective terms. We are not responsible for the availability, performance, or content of third-party services.
Where the Service connects to your accounts on third-party platforms (e.g., YouTube, Pinterest) at your direction, you grant Desklight permission to access those accounts within the scope you authorize.
Social publishing platforms. When you connect a social account, publishing happens through that platform's own API and remains subject to that platform's terms. In particular, the Service uses the YouTube API Services; by using the Service you agree to be bound by the YouTube Terms of Service. Google's handling of your data is described in the Google Privacy Policy. You may revoke Desklight's access to your Google account at any time via the Google security settings page.
8. Intellectual property
The Service, including its software, design, brand, and all underlying intellectual property, is owned by Desklight Inc. or its licensors. Nothing in these Terms transfers ownership of our intellectual property to you. The Desklight name and logo are trademarks of Desklight Inc.; you may not use them except as expressly permitted.
9. Confidentiality
Each party agrees to protect the other's non-public business information disclosed in connection with the Service with at least reasonable care, and not to use it for any purpose other than performing under these Terms.
10. Term and termination
These Terms apply for as long as you use the Service. You may terminate a workspace at any time by deleting it, which also cancels that workspace's recurring subscription, or by canceling the subscription separately while retaining a pay-as-you-go workspace. If your login belongs to multiple workspaces, deleting one does not terminate the others; use the verified privacy-request path for login-profile or cross-workspace deletion. We may terminate or suspend your access if you breach these Terms, fail to pay, or in good faith we believe it is necessary to protect the Service or other users.
On termination, your right to use the Service ends immediately. Unused purchased credits remain refundable at the price paid, without deductions, under the Refund Policy, including if we terminate access. We will retain or delete your data in accordance with the Privacy Policy.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY OUTPUT WILL MEET YOUR REQUIREMENTS.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL DESKLIGHT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US $100), WHICHEVER IS GREATER.
This limit does not reduce our obligation to refund unused purchased credits.
13. Indemnification
You agree to defend, indemnify, and hold harmless Desklight from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your User Content, your use of the Service, your violation of these Terms, or your violation of any third-party right.
14. Governing law and disputes
These Terms are governed by the laws of the Province of New Brunswick and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The courts of New Brunswick will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction.
Nothing in these Terms limits any rights you have under the mandatory consumer-protection laws of the place where you live, including any right those laws give you to bring a claim in your local courts.
15. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will notify you by email or in the Service at least 14 days before it takes effect. Subscription price changes require at least 30 days’ advance notice by email (§3.5). Changes do not reduce the value or alter the terms of credits already purchased; different credit-pack terms apply only to credits bought afterward. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
